Terms of Service

Agreement to Terms

These Terms of Service govern access to and use of AI1Health by clinics, organizations, staff users, patient portal users, and other authorized users. By accessing or using AI1Health, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

If you use AI1Health under a separate written agreement, customer agreement, order form, or Business Associate Agreement, those documents may provide additional or controlling terms.

About AI1Health

AI1Health is a healthcare SaaS-style platform that supports clinic workflows, including patient demographics, immunization documentation, vaccine inventory, storage and handling records, scheduling, tasks, imports, Smart MA workflow guidance, audit logs, role-based staff access, and patient portal features where enabled.

Eligibility and Authorized Users

AI1Health may be used only by individuals and organizations authorized to access the service. Clinic customers are responsible for determining which staff, contractors, patients, guardians, or other users may access their clinic environment and for ensuring those users have appropriate authority.

Accounts and Security

Users are responsible for maintaining the confidentiality of their account credentials and for activity that occurs under their accounts.

Users must not share accounts, permit unauthorized access, or attempt to bypass authentication, MFA, role-based access, audit logging, or other security controls.

You must promptly notify AI1Health or your clinic administrator if you suspect unauthorized access or misuse of an account.

Clinic Responsibility

Clinic customers and authorized users are responsible for the accuracy, completeness, legality, and appropriateness of information entered into AI1Health.

Clinics are responsible for managing staff access, patient communications, patient portal access, import review, vaccine administration documentation, storage and handling workflows, and compliance with applicable clinical, privacy, security, and program requirements.

Healthcare Disclaimer

AI1Health supports administrative, operational, and clinical workflow documentation. It is not a substitute for professional medical judgment, clinical assessment, emergency care, or applicable program guidance.

Healthcare providers and clinic personnel remain responsible for clinical decisions, vaccine administration, eligibility assessment, contraindication review, storage and handling decisions, documentation, reporting, and compliance with applicable laws, regulations, standards, payer requirements, and public health program rules.

HIPAA and Business Associate Agreement

Use of AI1Health involving Protected Health Information (PHI) may require a Business Associate Agreement (BAA).

If a BAA is in place between AI1Health and a covered entity or business associate, the BAA controls where it conflicts with these Terms regarding PHI.

Customers are responsible for determining whether a BAA is required for their use of AI1Health and for using the service in accordance with applicable privacy and security laws.

Acceptable Use

You may not use AI1Health for unlawful, harmful, fraudulent, or unauthorized purposes.

You may not access, use, disclose, alter, export, or attempt to obtain patient or clinic data unless you are authorized to do so.

You may not probe, scan, bypass, disable, overload, reverse engineer, or interfere with service security, access controls, audit controls, or infrastructure.

You may not upload malicious files, code, or content, or use AI1Health to transmit malware, spam, or abusive content.

You may not misuse patient data, clinic data, imports, portal access, Smart MA guidance, or audit information.

Patient Import and Uploaded Data

Users are responsible for having appropriate authorization to upload, import, process, and create patient demographic records.

Imports must be reviewed for accuracy before confirmation. AI1Health may provide validation, duplicate checks, skipped-row reporting, and workflow assistance, but users remain responsible for confirming that imported information is accurate and authorized.

Patient Portal

Patient portal availability depends on clinic enablement, clinic configuration, and applicable authorization.

The patient portal is not for emergencies or urgent medical needs. Patients and guardians should contact their clinic or emergency services for urgent or clinical concerns.

Fees and Subscriptions

Fees, subscriptions, pilot terms, renewal terms, and payment obligations may be described in a separate order form, customer agreement, pilot agreement, or other written agreement. If pricing terms are not yet defined, they will be provided separately before paid service begins.

Intellectual Property

AI1Health and its software, workflows, documentation, designs, service names, and related materials are owned by [Company Legal Name] or its licensors.

Subject to these Terms and applicable agreements, authorized users receive a limited, non-exclusive, non-transferable right to use AI1Health for permitted clinic and patient portal purposes.

Feedback

If you provide suggestions, ideas, or feedback, AI1Health may use that feedback to improve the service without obligation to you, while continuing to protect confidential information and PHI as required by applicable agreements and law.

Third-Party Services

AI1Health may integrate with or rely on third-party services for hosting, authentication, communication, analytics, support, public health workflows, or other operational needs. Third-party services may have separate terms and privacy practices.

Suspension and Termination

AI1Health may suspend or terminate access when reasonably necessary to protect the service, comply with law, enforce agreements, address nonpayment, investigate security concerns, or prevent unauthorized or harmful use.

Customer data handling after termination may be governed by the applicable customer agreement, BAA, legal requirements, and retention obligations.

Disclaimers

Except as expressly provided in a written agreement, AI1Health is provided on an as-is and as-available basis, subject to applicable law.

AI1Health does not guarantee uninterrupted service, error-free operation, clinical outcomes, regulatory compliance for every customer use case, or that all security risks can be eliminated.

Limitation of Liability

To the maximum extent permitted by law and except as otherwise stated in a separate written agreement, AI1Health and [Company Legal Name] will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption.

Any liability limits in an applicable customer agreement or BAA may control for covered services or PHI-related obligations.

Indemnification

To the extent permitted by law and applicable agreements, customers and users may be responsible for claims arising from unauthorized use, violation of these Terms, misuse of patient data, inaccurate information entered into the service, or violation of applicable law.

Governing Law

These Terms are governed by [Governing Law / State], unless a separate written agreement specifies a different governing law.

Changes to Terms

AI1Health may update these Terms from time to time. Updates will be posted on this page with a revised effective date or otherwise communicated as required by law or contract.
